Specific Services may be governed by a quotation, proposal, Statement of Work (“SOW”), order form, invoice, service plan or other written agreement.
3. CONTRACT DOCUMENTS AND ORDER OF PRECEDENCE
A contract for paid Services may consist of some or all of the following:
- an individually negotiated agreement;
- a Statement of Work or signed proposal;
- an accepted quotation or order form;
- these Terms;
- relevant service-specific terms;
- our Privacy Policy;
- any other document expressly incorporated into the agreement.
If there is a conflict between these documents, the more specifically negotiated document takes precedence.
Unless otherwise expressly agreed, the order of precedence is:
individually negotiated agreement → SOW → proposal/order form → these Terms.
An SOW may modify these Terms for a particular project.
No marketing material, website description, preliminary discussion, AI-generated assessment or informal estimate forms part of the contractual scope unless expressly incorporated into the SOW or another written agreement.
4. FORMATION OF A CONTRACT
Submitting a website form, requesting an Opportunity Map, contacting us, requesting a quotation or participating in an initial consultation does not by itself create an obligation for either party to enter into a paid project.
A binding contract for paid Services is normally created when one or more of the following occurs:
- both parties sign or expressly approve an SOW or proposal;
- you expressly accept our quotation or order;
- you make a payment requested under an agreed project;
- you instruct us in writing to begin agreed work;
- you complete a future online checkout process that clearly states that the order creates an obligation to pay.
Where applicable consumer law requires additional formalities, those requirements will apply.
We may decline a proposed project before a contract is formed.
5. ELIGIBILITY AND AUTHORITY
You must have legal capacity to enter into a binding agreement.
If you act on behalf of a business, company or other organization, you represent that you have authority to bind that organization.
We do not knowingly enter into contractual service relationships with minors.
Nothing on the public website is inherently restricted to persons over 18, but paid agreements may only be entered into by persons legally capable of doing so.
6. OUR APPROACH TO AI MODERNIZATION
Our work is generally iterative.
AI and automation projects often require investigation, prototyping, testing and refinement before the final technical solution can be determined.
Unless an SOW expressly states otherwise:
- initial concepts are not guarantees of final architecture;
- technical approaches may change as information becomes available;
- prototypes may reveal limitations that were not reasonably identifiable before implementation;
- estimates may be refined when requirements become clearer;
- model behaviour may change as models, data, prompts, APIs or external providers change;
- some requested outcomes may prove technically, commercially or legally impractical.
We will use reasonable professional skill and care in performing the Services.
We do not guarantee that every proposed AI use case will be technically or commercially worthwhile.
Where a simpler conventional software solution would be more appropriate than AI, we may recommend that approach.
7. AI OPPORTUNITY MAP AND FREE ASSESSMENTS
Our “Opportunity Map”, “AI Opportunity Map”, questionnaires, calculators, diagnostics, interactive recommendations and similar free or preliminary tools are intended to help identify potential areas where AI, automation or software may be useful.
Unless expressly agreed otherwise in writing, these outputs:
- are preliminary;
- may be generated partly or wholly using automated systems;
- are based only on the information available at the time;
- may contain assumptions;
- may omit relevant technical, legal, operational or commercial factors;
- do not constitute a final technical specification;
- do not constitute a binding quotation;
- do not constitute a guarantee of feasibility, savings, revenue, performance or return on investment;
- do not create an obligation for us to undertake a project.
A full assessment may require additional discovery, access to systems, sample data, technical documentation, interviews or other information.
8. AI-GENERATED OUTPUT
Many Services may involve generative AI, machine learning models or other probabilistic systems.
You acknowledge that AI-generated output can be incomplete, inaccurate, inconsistent, outdated or unsuitable for a particular purpose.
AI systems may produce different outputs from substantially similar inputs.
Unless expressly agreed otherwise, you are responsible for appropriate human review before relying on AI-generated output for material decisions.
You must not rely solely on AI-generated output where an error could materially affect:
- health or safety;
- legal rights;
- financial or investment decisions;
- employment decisions;
- credit decisions;
- insurance decisions;
- regulatory compliance;
- critical infrastructure;
- other high-impact decisions.
Where appropriate, we may design human-review, approval or exception-handling mechanisms into a system.
Such mechanisms do not eliminate the Client’s responsibility to operate the system appropriately.
9. REGULATED AND HIGH-IMPACT USES
We may provide technical Services to organizations operating in legal, medical, financial, investment, insurance, employment, HR, credit or other regulated fields.
Unless expressly agreed otherwise:
AI Practics does not act as your lawyer, doctor, financial adviser, investment adviser, accountant, regulated compliance adviser or other licensed professional merely by providing technical or AI Services.
The Client remains responsible for:
- determining applicable regulatory requirements;
- obtaining professional advice where appropriate;
- deciding whether and how a system may lawfully be deployed;
- implementing required human oversight;
- obtaining necessary licences, notices, permissions or consents;
- ensuring that final decisions comply with applicable law.
10. CLIENT RESPONSIBILITIES
You agree to provide information, access, feedback and decisions reasonably required for us to perform the Services.
You are responsible for ensuring that information supplied to us is materially accurate and that you have the right to provide it.
You are also responsible for:
- explaining material business requirements;
- identifying critical constraints;
- identifying applicable industry requirements known to you;
- providing timely feedback;
- reviewing prototypes and deliverables;
- providing acceptance criteria where appropriate;
- maintaining appropriate backups unless backup responsibility is expressly included in our scope;
- securing your own accounts and credentials;
- ensuring lawful use of the final system.
Delays or ambiguity in Client requirements, feedback, access, approvals, data or acceptance criteria may affect delivery estimates and costs.
11. SCOPE, CHANGES AND ADDITIONAL WORK
The agreed scope is defined by the applicable SOW, proposal, quotation or other written project description.
Material functionality outside that scope is additional work.
Examples may include:
- new integrations;
- new user roles;
- additional workflows;
- substantial new prompts or AI behaviour;
- additional platforms;
- new data sources;
- significant redesign;
- new languages;
- new reporting requirements;
- infrastructure not included in the original scope.
Minor adjustments that do not materially change functionality or effort may be handled without a formal change order at our reasonable discretion.
Examples may include small text corrections, minor styling adjustments or simple prompt wording changes.
Where a requested change materially affects scope, effort, cost or timing, we will normally notify you before performing that additional work.
12. PROJECT ESTIMATES AND DELIVERY DATES
Unless expressly identified as a guaranteed contractual deadline, delivery dates are good-faith estimates.
AI and software development is iterative, and timing can depend on:
- clarity of requirements;
- quality and availability of data;
- access to systems;
- third-party APIs;
- Client feedback;
- acceptance criteria;
- required revisions;
- technical discoveries;
- external service availability;
- security or compliance requirements.
We will use reasonable efforts to communicate material delays.
We are not responsible for delays caused by matters reasonably outside our control or by Client delay.
Where Client delay materially affects scheduling, we may reasonably reschedule work.
13. FEES, CURRENCIES AND TAXES
Fees are stated in the applicable quotation, proposal, SOW, invoice or checkout interface.
We currently may invoice in:
USD, EUR or GBP
unless otherwise agreed.
Prices are exclusive of taxes, duties, bank charges or similar charges unless expressly stated otherwise.
The Client is responsible for taxes or charges legally payable by the Client.
We are responsible for taxes imposed on our own income as required by law.
14. PAYMENT
Unless otherwise agreed, projects may use:
- advance payments;
- milestone payments;
- a final balancing payment.
The precise payment schedule will be stated in the applicable SOW, proposal or invoice.
Payment may currently be made by bank transfer to our designated Georgian bank account.
Additional payment methods may be introduced later, including online payment links or payment through a Client account.
Bank charges imposed by the Client’s bank or intermediary banks are normally the Client’s responsibility.
15. LATE PAYMENT
Invoices are payable by the date stated on the invoice.
Unless otherwise agreed, we provide a 7-calendar-day grace period after the due date.
After the grace period, overdue amounts may accrue interest at:
1% per month
or, if lower, the maximum amount permitted by applicable law.
Interest may be waived at our discretion.
If an undisputed invoice remains overdue after notice, we may reasonably suspend Services until payment is received.
We will normally give written notice before suspension.
Suspension resulting from non-payment may affect project deadlines.
Nothing in this section limits mandatory consumer protections.
16. PROJECT CANCELLATION AND TERMINATION
Unless the applicable SOW provides otherwise, either party may terminate an ongoing project by giving 14 calendar days’ written notice.
Larger or longer engagements may specify a longer notice period, including up to one month.
A Client may request immediate cessation of work.
Upon termination, the Client is responsible for:
- Services properly performed up to the effective termination date;
- work in progress reasonably performed;
- approved third-party costs that cannot reasonably be cancelled or recovered.
We do not charge a separate cancellation fee unless expressly agreed.
We may terminate or suspend Services immediately where reasonably necessary because of:
- unlawful use;
- serious security risk;
- material breach;
- persistent non-payment;
- fraud or attempted fraud;
- abuse of our personnel or systems;
- circumstances making continued performance unlawful.
Where reasonably possible, we will provide notice and an opportunity to remedy a remediable breach.
Mandatory consumer cancellation rights remain unaffected.
17. ACCEPTANCE OF DELIVERABLES
Where an SOW contains specific acceptance criteria, those criteria govern.
Where no acceptance process is specified, the Client should review a material deliverable promptly and notify us of reproducible material defects.
For business Clients, unless otherwise agreed, a deliverable may be considered accepted if:
- the Client expressly accepts it;
- the Client deploys or uses it in production other than solely for testing;
- or the Client does not identify a material non-conformity within 10 business days after delivery.
This deemed-acceptance mechanism does not apply where prohibited by law and does not limit mandatory consumer rights.
Minor defects that do not materially prevent the agreed use of the deliverable do not necessarily prevent acceptance.
18. 30-DAY DEFECT CORRECTION PERIOD
Unless an SOW states otherwise, bespoke software deliverables include a 30-calendar-day defect correction period beginning on delivery or acceptance, whichever is later.
During this period, we will correct, without additional professional fees, reproducible defects that cause the deliverable to materially fail to meet agreed acceptance criteria.
This does not cover:
- new functionality;
- changed requirements;
- enhancements;
- cosmetic preferences not included in the agreed specification;
- changes made by the Client or a third party;
- changes in Client infrastructure;
- changes to third-party APIs, platforms or services;
- failures caused by unsupported software or environments;
- misuse;
- security incidents outside our reasonable control;
- variations inherent in probabilistic AI output;
- issues caused by data materially different from the data used or described during development.
Where an issue is outside the defect correction commitment, we may offer to address it as additional work.
Mandatory statutory rights remain unaffected.
19. INTELLECTUAL PROPERTY — BESPOKE DELIVERABLES
Subject to full payment of all amounts due for the relevant deliverable, the Client will receive ownership of intellectual property rights in bespoke code and bespoke materials created specifically and exclusively for that Client, to the extent such rights are legally transferable and unless the applicable SOW states otherwise.
Transfer does not include:
- Background IP;
- reusable technology;
- generic components;
- third-party materials;
- open-source software;
- tools;
- frameworks;
- methodologies;
- know-how;
- general-purpose prompts;
- reusable workflows;
- generic AI agents;
- reusable automation patterns;
- development utilities.
Ownership transfer occurs only after full payment for the relevant project or deliverable.
20. BACKGROUND IP AND REUSABLE COMPONENTS
All intellectual property that existed before a project or that is developed as reusable, general-purpose technology remains our property or the property of the relevant third party.
This includes our:
- libraries;
- templates;
- frameworks;
- prompts;
- generic components;
- development tools;
- models;
- methodologies;
- automation patterns;
- know-how;
- reusable architectures;
- generic workflows.
If our Background IP is incorporated into a Client deliverable and is necessary for its ordinary use, we grant the Client, upon full payment, a:
perpetual, worldwide, non-exclusive, irrevocable and royalty-free licence
to use, execute, modify and maintain that incorporated Background IP as part of, or as reasonably necessary for, the Client deliverable.
Unless expressly agreed, this licence does not transfer ownership or grant the right to commercially resell our standalone reusable technology as a competing product.
Where a substantial pre-existing or reusable proprietary solution forms part of the project, we will seek to identify this in the SOW or otherwise notify the Client.
21. OPEN-SOURCE AND THIRD-PARTY MATERIALS
Deliverables may contain open-source software, third-party libraries, APIs, models, datasets or other materials.
These materials remain subject to their respective licences and terms.
Nothing in our agreement transfers ownership of third-party intellectual property.
We will use reasonable care when selecting material third-party dependencies, but we cannot guarantee that third-party software or services will remain available, unchanged or free of defects indefinitely.
22. CLIENT MATERIALS
The Client retains ownership of Client data, trademarks, documents, software and other materials supplied by the Client.
The Client grants us a limited licence to use those materials only as reasonably necessary to provide the Services.
The Client represents that it has sufficient rights and lawful authority to provide those materials for the intended project.
The Client is responsible for claims arising from Client-provided material that unlawfully infringes third-party rights, except to the extent caused by our unauthorized use.
23. CONFIDENTIALITY
Each party may receive confidential information from the other.
“Confidential Information” includes non-public technical, commercial, financial, operational, strategic and personal information that is identified as confidential or that a reasonable person would understand to be confidential.
Each party agrees to:
- use Confidential Information only for the relevant business relationship;
- protect it using reasonable safeguards;
- disclose it only to persons who reasonably need access;
- not disclose it to third parties except as permitted by these Terms, the relevant project agreement or law.
Confidential Information does not include information that the receiving party can demonstrate:
- was lawfully known without confidentiality obligation;
- becomes public without breach;
- is independently developed without use of the Confidential Information;
- is lawfully received from another source without confidentiality restriction.
A party may disclose Confidential Information where required by law, court order or competent authority, subject where legally permitted to giving reasonable prior notice.
These confidentiality obligations survive termination.
A separate NDA may be signed where appropriate.
24. USE OF AI PROVIDERS AND CLIENT DATA
Some Services may require use of external AI or cloud providers.
These may include providers such as OpenAI, Anthropic, Google or other technology providers selected for a project.
We will not knowingly submit Client Confidential Information to a third-party AI provider in a manner materially inconsistent with the agreed project or applicable privacy obligations.
Where a project requires material confidential data to be processed through a third-party AI provider, we will seek to agree an appropriate approach with the Client.
Possible approaches may include:
- anonymisation;
- pseudonymisation;
- removal of unnecessary identifying information;
- enterprise/API configurations with appropriate data controls;
- local or private models where commercially and technically appropriate;
- alternative workflows that reduce disclosure.
The Client must notify us before supplying data subject to unusual confidentiality, secrecy, regulatory or localization requirements.
25. NO TRAINING ON CLIENT CONFIDENTIAL DATA WITHOUT CONSENT
We will not intentionally use Client Confidential Information to train our own general-purpose AI or machine learning models for unrelated customers without the Client’s express written consent.
We may use generalized technical knowledge, experience, skills, ideas and know-how acquired while performing Services, provided that doing so does not disclose Client Confidential Information or reproduce Client-owned proprietary materials.
26. CASE STUDIES AND PUBLICITY
We may create internal records of project experience.
We may describe experience publicly in a genuinely anonymized manner where the description does not reasonably identify the Client or reveal Client Confidential Information.
We will not publicly disclose the Client’s:
- name;
- logo;
- identifying project details;
- confidential metrics;
- testimonials;
- identifiable case study
without the Client’s prior permission.
27. DATA PROTECTION
We process personal data in accordance with our Privacy Policy and applicable data protection law.
Depending on the Services, additional data-processing terms or a Data Processing Agreement may be required.
The parties will cooperate in good faith to establish appropriate privacy roles and responsibilities for projects involving personal data.
The Client remains responsible for establishing a lawful basis for personal data it instructs us to process where the Client controls that processing.
28. THIRD-PARTY SERVICES
Projects may depend on external providers, including:
- AI/model providers;
- cloud platforms;
- hosting companies;
- messaging platforms;
- email providers;
- payment processors;
- databases;
- API providers;
- communication services;
- analytics providers;
- open-source projects.
We do not control these providers.
They may:
- experience outages;
- change APIs;
- change pricing;
- change limits;
- change policies;
- discontinue products;
- alter model behaviour;
- restrict accounts;
- modify geographic availability.
We are not responsible for failures caused solely by third parties outside our reasonable control.
Where practical, we will use reasonable efforts to help diagnose or mitigate material third-party problems affecting Services we have implemented.
Additional work caused by material third-party changes may be separately chargeable unless maintenance covering those changes has been agreed.
29. HOSTING, SUPPORT AND MAINTENANCE
Hosting, support, monitoring, backups, maintenance, updates and service-level commitments are included only where expressly stated in the applicable SOW or service plan.
A development project does not automatically include indefinite maintenance.
Where a system is handed over to the Client, responsibility for ongoing operation transfers as specified in the SOW.
Any guaranteed uptime, response time or service level must be expressly agreed in writing.
30. SECURITY AND BACKUPS
We will use reasonable technical and organizational efforts appropriate to the agreed scope to protect systems and information under our control.
No internet-connected or AI-enabled system can be guaranteed completely secure.
Unless managed hosting or backup responsibility is expressly included in our scope, the Client is responsible for maintaining appropriate:
- backups;
- access controls;
- credential security;
- disaster-recovery procedures;
- production monitoring;
- security policies.
Clients should not provide passwords or production credentials through insecure communication channels.
Where possible, access should use limited, revocable credentials following the principle of least privilege.
31. PROHIBITED USE
You must not intentionally use our Services to facilitate unlawful activity.
This includes, where unlawful or unauthorized:
- fraud;
- malware;
- credential theft;
- unauthorized system access;
- unlawful surveillance;
- unlawful interception;
- unlawful discrimination;
- intellectual property infringement;
- spam;
- deceptive impersonation;
- illegal scraping or collection of personal data;
- violation of sanctions or export restrictions;
- other unlawful activity.
We may decline or terminate work where we reasonably believe continuing the project would require us to participate in unlawful conduct.
32. WARRANTIES
We warrant that we will perform professional Services using reasonable skill and care.
Except for warranties expressly stated in these Terms or an applicable SOW, and to the maximum extent permitted by law:
- we do not guarantee that software will be entirely error-free;
- we do not guarantee uninterrupted operation of third-party services;
- we do not guarantee a particular commercial outcome;
- we do not guarantee revenue increases, cost reductions or return on investment;
- we do not guarantee that any AI model will always produce correct output;
- we do not guarantee that a prototype will prove the feasibility of the intended final product.
Nothing in these Terms excludes rights or warranties that cannot lawfully be excluded.
33. LIMITATION OF LIABILITY
This section applies to the maximum extent permitted by applicable law.
For each project or SOW, our total aggregate liability arising out of or in connection with that project, whether in contract, tort, negligence, misrepresentation or otherwise, will not exceed the total professional fees actually paid by the Client to us under that project or SOW.
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss, or for loss of:
- profits;
- anticipated savings;
- revenue;
- business opportunity;
- goodwill;
- reputation;
- business continuity;
- data,
except where such exclusion is prohibited by applicable law.
The parties acknowledge that AI and software projects involve technical and commercial uncertainty and that the allocation of risk in these Terms is reflected in the pricing of the Services.
Nothing in these Terms excludes or limits liability where such liability cannot lawfully be excluded or limited, including liability arising from fraud or other liability that applicable law makes non-excludable.
Nothing in this section reduces our obligation to use reasonable efforts to protect Client data and Confidential Information within the agreed scope.
Mandatory consumer rights are unaffected.
34. CLIENT DECISIONS AND BUSINESS OUTCOMES
The Client remains responsible for its business decisions.
Recommendations concerning automation, efficiency, AI opportunities, architecture, product strategy or potential financial impact are professional opinions based on information available at the time.
Unless expressly agreed in writing, they are not guarantees of:
- profitability;
- market demand;
- cost savings;
- regulatory approval;
- funding;
- business continuity;
- commercial success.
Where we provide estimates, projections or indicative calculations, they should be evaluated together with their stated assumptions.
35. FORCE MAJEURE
Neither party will be liable for delay or failure caused by circumstances beyond its reasonable control.
Examples may include:
- natural disasters;
- war;
- civil disorder;
- major infrastructure failure;
- government action;
- telecommunications failure;
- widespread cloud/platform outages;
- cyber incidents not caused by that party’s failure to exercise reasonable care;
- other comparable events outside reasonable control.
The affected party should notify the other party where reasonably practicable and use reasonable efforts to mitigate the impact.
Payment obligations for Services already properly performed are not cancelled merely because a force majeure event occurs.
36. CONSUMERS
This section applies where the Client is a natural person acting wholly or mainly outside their trade, business or profession and applicable law treats them as a consumer.
Nothing in these Terms limits mandatory consumer rights.
Where Georgian consumer law applies to a distance service contract, a consumer generally has the right to withdraw within 14 calendar days from conclusion of the service contract, subject to applicable statutory exceptions.
If a consumer wishes us to begin Services before the end of an applicable withdrawal period, we may require an express request or consent in the form required by applicable law.
Where permitted by applicable law, the right of withdrawal may cease after a service has been fully performed where:
- performance began with the consumer’s prior express consent or request; and
- the consumer acknowledged the consequences for the right of withdrawal.
Other statutory exceptions may apply, including in relation to certain personalised services or digital content where the legal requirements for the exception are satisfied.
Where a consumer validly exercises a statutory right of withdrawal, refunds and any payment for Services already supplied will be handled in accordance with applicable mandatory law.
To exercise a statutory withdrawal right, a consumer may send a clear statement to:
stating that they wish to withdraw from the relevant contract.
No particular wording is required unless applicable law provides otherwise.
37. CONSUMER START-WORK REQUEST
Where required by applicable consumer law, before commencing paid Services during an applicable withdrawal period we may ask the consumer to confirm substantially the following:
“I expressly request that AI Practics begin providing the Services before the expiry of my statutory withdrawal period. I understand that, where permitted by applicable law, I may lose my right to withdraw once the Services have been fully performed.”
Where legally required, this consent will be captured separately from general acceptance of these Terms.
38. COMPLAINTS
If you believe we have failed to meet an agreed obligation, please contact us first so that we can investigate and attempt to resolve the issue.
Contact: [email protected]
For technical project matters, the project communication channel stated in the SOW may also be used.
Where consumer law provides access to a consumer protection authority, court, alternative dispute mechanism or other statutory remedy, these Terms do not prevent the consumer from using that remedy.
39. DISPUTE RESOLUTION
Before commencing formal proceedings, the parties should normally attempt in good faith to resolve a dispute through direct negotiation.
Where appropriate, the parties may agree to mediation.
Nothing in this section prevents a party from seeking urgent interim relief where reasonably necessary to protect confidential information, intellectual property, data or other rights.
Nothing in these Terms requires a consumer to use arbitration or another process where such a requirement would unlawfully restrict consumer rights.
40. GOVERNING LAW
Subject to mandatory laws that cannot lawfully be excluded, these Terms and contracts governed by them are governed by the laws of Georgia.
For a consumer, this choice of law does not deprive the consumer of mandatory protections that apply under the law of the consumer’s habitual residence where those protections cannot lawfully be excluded by agreement.
41. JURISDICTION
Subject to mandatory consumer jurisdiction rules and other applicable mandatory law, the courts of Georgia will have jurisdiction over disputes arising out of or relating to these Terms or the Services.
Nothing in this clause removes a consumer’s right to bring or defend proceedings in another court where mandatory applicable law grants that right.
42. WEBSITE CONTENT
Information on our website is provided for general informational and commercial purposes.
We use reasonable efforts to keep material information accurate, but website content may change and may not always reflect the latest technical capabilities, third-party pricing or service availability.
Website examples, illustrations and demonstrations may be simplified.
Descriptions of potential solutions are not guarantees that a particular solution is appropriate for every business.
43. WEBSITE AVAILABILITY
We may modify, suspend or discontinue parts of the public website or free tools.
We do not guarantee continuous availability of free website functionality.
Where a paid hosted service includes availability commitments, those commitments must be stated separately in the applicable service plan or SOW.
44. LINKS TO THIRD-PARTY SERVICES
Our website may contain links to third-party websites or services.
Such links do not necessarily constitute endorsement.
We are not responsible for third-party content, availability, privacy practices or contractual terms.
Users should review the relevant third-party terms before using those services.
45. PRIVACY AND COOKIES
Use of personal information is governed by our Privacy Policy.
Our website may use cookies or similar technologies.
Where applicable law requires consent for non-essential cookies or similar technologies, such technologies should not be activated until the required consent has been obtained.
A separate Cookie Policy may provide additional information about the technologies used.
46. COMMUNICATIONS AND ELECTRONIC RECORDS
The parties may communicate and enter into agreements electronically.
Where permitted by law, approvals given by email, authenticated account, electronic signature, order confirmation or another agreed electronic method may constitute written approval.
You are responsible for keeping your contact information current.
Important project communications sent to the last contact address you provided may be treated as received in the ordinary course of electronic delivery unless we become aware that delivery failed.
47. ASSIGNMENT
The Client may not assign a material project agreement to another party in a manner that materially increases our obligations without our reasonable consent.
We may use employees, contractors or specialist subcontractors to perform parts of the Services, subject to appropriate confidentiality and data-protection obligations.
We remain responsible for our contractual obligations to the extent provided by the applicable agreement.
48. SUBCONTRACTORS
We may use qualified subcontractors where reasonably necessary.
Where subcontractors require access to Confidential Information or personal data, we will use reasonable contractual or organizational safeguards appropriate to their role.
Use of subcontractors does not by itself permit disclosure of Client Confidential Information for unrelated purposes.
49. CHANGES TO THESE TERMS
We may update these Terms from time to time.
The version applicable to an existing fixed project will normally be the version incorporated when the project agreement was entered into, unless:
- the parties agree otherwise;
- a change is required by law;
- an ongoing service expressly provides for updated terms.
For ongoing online or subscription services, we may provide reasonable notice of material changes where required.
The current website version will show:
- Effective Date;
- Last Updated date;
- version number.
A material change to standard website Terms does not retrospectively alter a separately agreed SOW unless the relevant agreement permits it.
50. LANGUAGE
These Terms may be translated into Russian or other languages for convenience.
Unless mandatory law requires otherwise, the English-language version is the authoritative version.
If a translation conflicts with the English version, the English version prevails to the extent legally permitted.
51. SEVERABILITY
If a provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply to the extent legally possible.
The invalid provision should be interpreted or replaced, where legally possible, in a manner that most closely reflects its lawful commercial purpose.
52. NO WAIVER
Failure or delay in exercising a contractual right does not automatically waive that right.
A waiver relating to one breach does not necessarily waive a later breach.
53. ENTIRE AGREEMENT
These Terms together with the applicable SOW, proposal, quotation, order form and other expressly incorporated documents constitute the agreement concerning the relevant Services.
They supersede prior discussions concerning the same contractual subject matter, except in the case of fraud or where applicable law provides otherwise.
54. CONTACT
Legal and contractual notices may be sent to:
AI Practics Email: [email protected] Website: aipractics.com Telegram: @aipractics
55. FINAL CONSUMER RIGHTS NOTICE
Nothing in these Terms is intended to exclude, restrict or modify any right, guarantee, remedy or protection that applicable law does not permit us to exclude, restrict or modify.
Where any provision of these Terms conflicts with a mandatory consumer protection rule applicable to you, the mandatory rule will prevail to the extent of that conflict.
